Incorporation Services Limited
At Incorporation Services we offer a highly professional service for company formations, ready-made companies, company formation advice, company formation services, company law and company secretarial matters. We can advise you about your company's name, its memorandum and articles, share capital, etc., register it by direct electronic link to Companies House, and provide an after-care service once it is up and running. In other words a complete and professional company service.

On-line Ordering
Ordering your company on-line is the most efficient way of sending us the details of your company and its directors, etc. Unlike most on-line services, we still check the details and the availability of the name before registering the company electronically. This only takes a few minutes, but if there are any problems or queries, we can contact you and sort them out by telephone or email at an early stage.

Electronic Registration
Electronic registration gives us the quickest possible means of getting your company registered. In most cases the company can be set up within a few hours.(Electronic Company Formation, Electronic Company Registration).

Other services

Company Names
A company's name is an important asset. A new company's name has to be chosen carefully to avoid infringing the rights of established businesses and to see that it complies with the requirements of the Companies Acts. It may also be important to have it registered as a domain name for use on the Internet and as a trade mark. A detailed explanation of some of the legal issues involved is available by going to the company names page on this website.

Other Options
Our service is entirely flexible. We want to set up your company the way you want it done. We have been in this business since 1978 and our reputation for technical expertise and friendly, personal service is second to none. If you are not sure quite what you want, please contact us. We are here to help.

Memorandum And Articles
Our standard services for both company formations and ready made companies include six printed and bound copies of the memorandum and articles and a separate copy of Table A. Additional copies, and copies which include Table A can be supplied at extra charge.

The memorandum and articles of association are a company's constitutional documents. It is vital that these documents, which set out the rules for running the company, contain the right provisions. Our standard documents, based on Table A (specimen articles provided by legislation) cover most circumstances, but we also prepare non-standard documents where these are required. A detailed explanation of some of the legal issues involved is available by going to the memorandum and articles page on this website

Registers, company kits and seals
Our standard service includes a loose-leaf company kit which contains all the statutory registers (including minute pages and share certificates) in a ring binder in a slip case, and the registers are fully completed. We no longer provide a company seal as standard as companies are no longer required by the Act to have a seal, but we can supply one if you wish.

Company secretarial services
All companies have to keep statutory registers, maintain minutes of meetings and send forms and returns to Companies House. We can take over this responsibility, thus freeing the directors' time for running the business, either as an initial service or on a continuing basis.

A new company must comply with such Companies Act formalities on:

  • Share allotments

  • Completion of statutory registers (of transfers, applications and allotments, members, directors, secretaries, directors' interests)

  • Issuing share certificates

  • Minutes of directors' decisions and any general meetings

  • Returns to Companies House

The statutory registers are public records and must be completed and be available to anyone who wishes to inspect them. Our standard company formation service includes completion of these registers, so that all statutory requirements are complied with until the company has to submit its first annual return and accounts.

We also act as company secretary for many companies, ensuring continuing statutory compliance. We provide such services only in appropriate cases so that we can offer a personal and professional service meeting the requirements of the particular company.
