Effect of statutory registers

Every company must keep statutory registers and they must be updated when any registered detail changes. Neglecting to do so can be dangerous. The register of members, in particular, is the primary eveidence of who owns shares in the company and the extent to which those shares have been paid up. Besides which, being in default of the statutory requirements for company registers is an offence, for which the directors and/or company secretary may be liable (though, in reality, prosecutions are almost unknown). Since 1st. October 2009, the statutory registers should include details of directors' service addresses as well as their residential addresses.

When Company Law Solutions provides a service which changes information that should be included in the statutory registers, we will advise that the registers should be changed, leaving the actual amendment to the company;s directors or secretary. If requested, we can amend the registers themselves.
